Vendor Agreement

Binding legal contract between Gletra Technologies Pvt. Ltd. and marketplace vendors governing the commercial relationship, licences, and obligations.

This Vendor Agreement ("Agreement") is a legally binding contract between Gletra Technologies Pvt. Ltd. ("Gletra," "Platform") and you ("Vendor," "Seller") governing your registration, listing, and sale of products on the Gletra marketplace through the Seller Panel.

By clicking "Accept," completing seller registration, or listing your first product, you confirm that you have read, understood, and agree to be bound by this Agreement, the Terms and Conditions, Seller Policy, Privacy Policy, and all policies incorporated by reference. If you are entering this Agreement on behalf of a company, you represent that you have authority to bind that entity.

This Agreement establishes the commercial relationship between Gletra and Vendor. Gletra provides marketplace infrastructure, buyer traffic, payment processing, logistics integration, and dispute resolution. Vendor provides product inventory, accurate listings, order fulfilment, and customer service for products sold through the Platform.

Gletra may amend this Agreement by posting updated terms on the Seller Panel with 15 days notice for material changes. Continued listing or sale after the effective date constitutes acceptance. Vendors who do not accept amendments may terminate this Agreement per the Termination section.

Subject to this Agreement and Vendor's continued compliance with all platform policies, Gletra grants Vendor a non-exclusive, non-transferable, revocable licence to access the Seller Panel, list products in approved categories, and sell to buyers on the Platform within India.

This licence does not grant Vendor any ownership interest in Gletra intellectual property, buyer data beyond order fulfilment necessities, or exclusivity in any product category or geographic region. Gletra may onboard competing vendors without restriction.

Vendor represents and warrants the following throughout the term of this Agreement.

  1. Vendor has legal authority to enter this Agreement and sell listed products
  2. All products are genuine, legally sourced, and free from liens or encumbrances
  3. Product listings are accurate, complete, and not misleading in any material respect
  4. Vendor holds all necessary licences, brand authorisations, and regulatory approvals for listed products
  5. Vendor complies with applicable tax laws including GST collection and remittance obligations
  6. Vendor's KYC information and business registration documents are authentic and current

Breach of any representation constitutes material breach entitling Gletra to immediate suspension and termination.

Vendor retains ownership of product images, descriptions, and other listing content uploaded to the Platform. Vendor grants Gletra a worldwide, royalty-free, sublicensable licence to use, display, reproduce, and distribute listing content for the purpose of operating and promoting the marketplace.

Gletra may use Vendor product data for search indexing, recommendation algorithms, and marketing campaigns featuring Vendor products. Vendor may not use Gletra trademarks, buyer contact information, or platform data for off-platform marketing without written consent.

When a buyer purchases Vendor's product, a contract of sale is formed directly between Vendor and buyer. Gletra acts as Vendor's limited payment collection agent. Vendor is responsible for order acceptance, packing, shipping, delivery, returns, and warranty obligations.

Gletra charges commission on each completed sale as specified in the fee schedule published in the Seller Panel. Commission rates vary by product category and may be updated with 30 days notice. Payment gateway fees, shipping charges, and optional advertising fees are additional.

Settlement Terms

  • Settlement cycle: T+7 standard, T+3 for premium eligible vendors
  • Settlement amount equals sale price minus commission, fees, refunds, and chargebacks
  • Gletra may withhold settlement for disputed orders, suspected fraud, or policy violations
  • Vendor is responsible for all applicable taxes on sales income
  • Gletra provides monthly tax reports and TDS certificates where applicable

Vendor shall indemnify, defend, and hold harmless Gletra, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) Vendor's products, listings, or conduct; (b) breach of this Agreement or applicable law; (c) intellectual property infringement claims related to Vendor products; (d) product liability claims; or (e) tax obligations related to Vendor sales.

This Agreement begins upon Vendor acceptance and continues until terminated by either party. Vendor may terminate with 30 days written notice to seller-support@gletra.com after fulfilling all pending orders and resolving open disputes.

Gletra may terminate immediately for material breach, fraud, counterfeit sales, or legal requirement. Upon termination, Vendor's licence to use the Seller Panel ceases, listings are removed, and pending settlements are processed subject to hold periods. Sections on indemnification, limitation of liability, and governing law survive termination.

This Agreement is governed by the laws of India. Disputes between Gletra and Vendor shall first be addressed through good-faith negotiation. Unresolved disputes shall be referred to arbitration in Bengaluru under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by mutual agreement or by the Bengaluru High Court.

Gletra may update commission rates with 30 days notice published in the Seller Panel. Continued listing after the effective date constitutes acceptance. If you disagree with new rates, you may terminate the Agreement with 30 days notice after fulfilling pending obligations.

You retain ownership of your listing content. You grant Gletra a licence to display and promote your listings on the platform. Gletra does not acquire ownership of your intellectual property. You warrant that you have rights to all uploaded content and indemnify Gletra against infringement claims.

Gletra may require you to fulfil pending orders even after termination notice, or may cancel unfulfilled orders with full buyer refunds charged against your settlement balance. You must cooperate with order completion and return processing during the wind-down period.

Yes. As the seller of record, you bear primary product liability. You agree to indemnify Gletra against product liability claims arising from your products. Maintain appropriate product liability insurance for high-risk categories as recommended in Seller Panel guidelines.

Send written termination notice to seller-support@gletra.com with 30 days advance notice. Complete all pending orders, resolve open disputes, and remove or transfer listings. Final settlement is processed after the hold period for returns and chargebacks, typically within 45 days of termination.
